These SurveyMonkey for Salesforce (“SM4SF”) Terms of Service (“Terms”) only apply if you have purchased a subscription to the SM4SF service.

SM4SF is a component of the Enterprise Services provided under your Enterprise Agreement (“EA”) with SurveyMonkey. Capitalized but otherwise undefined terms in these Terms have meanings given to them in the EA. In the event of any conflict between these Terms and the EA, these Terms will prevail.

1. Service Description

SM4SF is a service that allows customers to send SurveyMonkey surveys and analyze survey results via the Salesforce user interface. The order form or other order document under which you are purchasing SM4SF (“Order Document”) may specify additional details about what you purchased.

2. Requirements

2.1. Enterprise Subscription Required.

You must have an Enterprise subscription to be eligible to purchase and use SM4SF.

2.2. Appropriate Salesforce Subscription Required.

To be able to use SM4SF, you are required to have an appropriate subscription to the online services provided by salesforce.com, inc or its affiliates (“SFDC”) via http://www.salesforce.com (“Salesforce Subscription”). You, and not SurveyMonkey, are responsible for ensuring that the features and capabilities of your Salesforce Subscription support SM4SF and the purposes for which you intend to use SM4SF. You may need to order additional services from SFDC in order for SM4SF to properly operate with your Salesforce Subscription.

3. Relationship between SM4SF and Salesforce Subscriptions

Your subscription to SM4SF entitles you to use SM4SF with a single Salesforce Subscription.

If your organization has multiple Enterprise Groups, each of those Groups will be entitled to use SM4SF, provided that they are connected to the same Salesforce Subscription.

If you have multiple Salesforce Subscriptions (i.e. multiple instances of the Salesforce application), you will need to order one SM4SF subscription for each Salesforce Subscription you wish to use SM4SF with.

If your Salesforce Subscription terminates for any reason, your associated SM4SF subscription will automatically terminate. You will not receive a refund of any fees prepaid for SM4SF in the event of such termination.

4. Term and Termination

SM4SF is made available as an automatically renewing subscription. The billing cycle for your SM4SF subscription is specified on the Order Document. Absent such specification, the billing cycle will be annual.

You may terminate your SM4SF subscription at the end of a billing cycle by providing at least 30 days’ written notice to SurveyMonkey (including by email to support@surveymonkey.com) before the end of that billing cycle (i.e. when your SM4SF subscription is due to automatically renew). SurveyMonkey may also cancel your SM4SF subscription at the end of a billing cycle by providing at least 30 days’ written notice before the end of that billing cycle.

Your SM4SF subscription will terminate if you fail to maintain an Enterprise Group.

5. Price Changes

SurveyMonkey may change the fees charged for SM4SF at any time, provided that the change will become effective only at the end of the then-current billing cycle of your SM4SF subscription. SurveyMonkey will provide you with at least 60 days’ prior written notice of any change in fees to give you an opportunity to cancel your SM4SF subscription before the change becomes effective.

6. Warranty Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS AND TO THE EXTENT PERMITTED BY APPLICABLE LAW, SM4SF IS PROVIDED “AS IS” AND SURVEYMONKEY DOES NOT MAKE WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THOSE OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OR ANY REGARDING RELIABILITY, VERACITY, OR ACCURACY OF SM4SF.

7. Payment Terms

Fees paid are non-refundable, unless otherwise agreed.
